1. Acceptance of Terms

By creating an account or otherwise accessing or using Dofi's website, services, or AI phone agent (collectively, the “Service”), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” refers to that business. These Terms apply within the United States.

3. AI Phone Agent — Disclosure & Call Recording

The Dofi phone agent is an artificial intelligence (AI) system. Whether the AI introduces itself upfront is configured by each individual business — some prefer a natural greeting without an AI announcement.

AI identity: Regardless of how a call opens, the Dofi AI agent will never claim to be a human if sincerely asked. This is consistent with FTC deceptive-practices standards and the California BOT Disclosure Act. No US law currently requires AI to proactively announce itself at the start of a phone call.

Human transfer: At any point during a call, you may ask to speak with a human staff member. The AI will transfer you to available staff or take a message if no one is available. You are never required to continue speaking with the AI.

Call recording & consent: Inbound calls handled by the Dofi AI agent may be recorded and transcribed to complete bookings, for quality assurance, and to operate the Service. Many U.S. states — including but not limited to California, Connecticut, Delaware, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, and Washington — require all-party consent to record a call. To comply, the AI provides a recording disclosure at the start of every call, regardless of location. Continuing the call after that disclosure constitutes consent. A caller may end the call at any time if they do not wish to be recorded.

Voice data: Dofi transcribes call audio to text to understand and fulfill requests. Dofi does not create, store, or use voiceprints or voice-based biometric identifiers and does not use callers' voices to identify them.

Built-in compliance features: The recording disclosure, AI-identity handling, human-transfer option, and SMS consent prompt described above are provided by the Dofi platform as part of the Service. Individual businesses do not need to build, script, or configure these themselves.

4. SMS Messaging Terms

How you opt in: When you call a Dofi-powered business and schedule an appointment, the AI agent verbally asks: “Can I send you a confirmation and reminder text to [your phone number]?” Your verbal agreement is your express consent. The call recording serves as the consent record. You may decline SMS messages at that point without affecting your ability to book an appointment.

Message types: Transactional messages only — appointment confirmations and reminders. We do not send marketing or promotional SMS messages.

Message frequency: Up to 2–4 messages per appointment. Frequency varies based on the number of bookings you make.

Message & data rates: Message and data rates may apply. Check with your mobile carrier for details.

Opt-out: Reply STOP at any time to unsubscribe from all SMS messages. You will receive a single confirmation and no further messages will be sent.

Carriers are not liable for delayed or undelivered messages. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be shared with any third parties. SMS consent is never a condition of purchasing a product or service.

If you sign up to use Dofi for your business, you agree to:

7. Intellectual Property & Data Ownership

Our intellectual property: All software, technology, content, trademarks, and materials within the Service are the property of Dofi or its licensors and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business during your subscription. You may not copy, modify, distribute, reverse-engineer, or create derivative works without our prior written consent.

Your data: As between you and Dofi, you (the Client) own the business and customer data generated through your use of the Service, including booking and call records associated with your business. You grant Dofi a license to host, process, and use that data as needed to provide and operate the Service. Dofi may also use de-identified and aggregated data — which does not identify you or any caller — to maintain, improve, and develop the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that AI responses will be accurate at all times. You are responsible for reviewing bookings and outcomes generated by the AI.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOST BOOKINGS, OR DATA LOSS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Dofi and its officers, directors, employees, and agents from any third-party claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, or your violation of applicable law or the rights of a third party. This does not apply to claims arising from the Service operating as designed or from Dofi's own violation of these Terms or applicable law.

11. Termination

Either party may terminate the service relationship at any time. We reserve the right to suspend or terminate your access to the Service immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users or to Dofi. Upon termination, your right to use the Service ceases immediately.

12. Dispute Resolution — Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court — except that either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief in court for actual or threatened infringement or misappropriation of intellectual property or unauthorized access to the Service.

Class action waiver: Disputes will be conducted only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims. If this class action waiver is found unenforceable, then the entirety of this arbitration provision shall be null and void.

Arbitration will take place in California unless you and Dofi agree otherwise, and judgment on the award may be entered in any court of competent jurisdiction.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles. Subject to the arbitration provision above, any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction there.

14. General Provisions

Entire agreement: These Terms, together with the Privacy Policy and any data processing addendum or order form between Dofi and a Client, constitute the entire agreement between you and Dofi regarding the Service. Severability: If any provision is held unenforceable, the remaining provisions remain in full effect. Assignment: You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Force majeure: We are not liable for any delay or failure caused by events beyond our reasonable control. No waiver: Our failure to enforce any provision is not a waiver of it. Notices: We may provide notices to you by email or by posting on our website.

15. Changes to These Terms

We may update these Terms from time to time. We will notify registered business owners by email and update the effective date above. Continued use of the Service after changes constitutes acceptance of the updated Terms.
